SOFTWARE LICENSE, DISCLAIMER, AND WAIVER OF LIABILITY AGREEMENT

PLEASE READ THIS AGREEMENT CAREFULLY. BY CLICKING "I AGREE," DOWNLOADING, ACCESSING, OR USING THE SOFTWARE OR ANY RELATED MATERIALS ("THE SERVICES") PROVIDED BY SIMMULATIONS, LLC ("THE COMPANY"), YOU ("THE USER") ACCEPT AND ARE BOUND BY THE TERMS OF THIS AGREEMENT.

1. NO WARRANTY AND FULL DISCLAIMER

The Services are provided on an "AS IS" and "AS AVAILABLE" basis, with all faults and without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, or reliability.

2. LIMITATION OF LIABILITY

To the fullest extent allowed by applicable law (including the laws of the State of South Carolina), the Company shall not be liable for any damages whatsoever (including, but not limited to, direct, indirect, incidental, consequential, punitive, special, or exemplary damages, loss of profits, business interruption, data loss, property damage, personal injury, or legal claims) arising out of or in connection with the use of or inability to use the Services.

3. NO CLAIMS; USER ASSUMES ALL RISK

You agree and acknowledge that all use of the Services is at your sole risk. The Company shall have NO RESPONSIBILITY of any kind for usage of its intellectual property, nor shall any claim, legal action, or complaint be permitted or recognized against the Company for any reason or under any circumstances.

4. INTELLECTUAL PROPERTY

All content, software, materials, and intellectual property provided by the Company remain the exclusive property of the Company and are protected under copyright, trademark, and other applicable laws.

5. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless the Company and its officers, agents, affiliates, employees, consultants, licensors, and contractors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees) arising from or in any way relating to your use, misuse, or reliance upon the Services.

6. JURISDICTION AND GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of South Carolina, without regard to conflicts of law principles. Any disputes shall exclusively be resolved in the state or federal courts located in Greenville County, South Carolina.
